These Terms & Conditions (“Agreement”) govern the services provided by GelaroGrace Studio (“we,” “our,” or “the Studio”) to our clients (“you,” “your,” or “the Client”). By engaging with our services, you agree to comply with the following terms.

1. Services

• We provide professional post-production services, including Editorial, Colour Grading, VFX, CGI, Motion Graphics, as agreed in project-specific contracts.
• The scope, timeline, and deliverables will be clearly outlined in a Statement of Work (SOW) or Service Agreement before project commencement.

2. Project Deliverables

• Deliverables will be shared in the formats agreed upon with the client.
• Revisions are limited to the scope agreed in the project contract. Additional revisions may be charged separately.
• Creative and technical decisions are made in consultation with the client to maintain project quality.

3. Payment Terms

• A percentage advance (as agreed in writing) is required before project initiation.
• Remaining payments are due as per milestones or final delivery, whichever is applicable.
• Delayed payments may attract interest charges as per contract.
• All costs are exclusive of applicable taxes (GST, etc.).

4. Intellectual Property

• All raw files, working files, and project assets remain the property of GelaroGrace Studio unless otherwise agreed in writing.
• Final deliverables, upon full payment, will be licensed to the client for agreed use (broadcast, OTT, advertising, etc.).
• Unauthorized reproduction, resale, or modification of deliverables without written consent is prohibited.

5. Confidentiality

• Both parties agree to maintain strict confidentiality of all project-related information, assets, and business details.
• Non-disclosure agreements (NDAs) may be signed for sensitive projects.

6. Client Responsibilities

• Provide accurate project details, references, and materials within agreed timelines.
• Ensure all third-party assets (scripts, music, footage, etc.) provided by the client are cleared of copyright issues.
• Delays caused by the client may impact delivery schedules.

7. Studio Responsibilities

• Deliver high-quality creative and technical services within agreed timelines.
• Inform the client promptly of any unforeseen delays or challenges.
• Maintain data security and confidentiality at all times.

8. Limitations of Liability

• While we take utmost care in project execution, GelaroGrace Studio is not liable for:
  • Delays caused by force majeure (natural disasters, pandemics, strikes, etc.).
  • Losses due to client-provided data or third-party materials.
• Our liability is limited to the amount paid by the client for the specific project.

9. Termination

• Either party may terminate the project with written notice in case of breach of agreement.
• Upon termination, the client must pay for completed work and costs incurred up to that date.

10. Governing Law

• These Terms & Conditions are governed by the laws of India.
• Any disputes shall be subject to the jurisdiction of courts in Noida/Delhi NCR.

11. Updates to Terms

GelaroGrace Studio may update these Terms & Conditions from time to time. Clients will be informed of significant changes.
